Terms of Service

1. Acceptance of These Terms

Welcome to Special Needs Finder. These Terms of Service ("Terms") govern your use of the Special Needs Finder platform, directory, and associated services. Quiet Loud Creations LLC, doing business as Special Needs Finder ("SNF," "we," "us," or "our"), operates the platform.

By accessing or using Special Needs Finder, creating an account, claiming a provider listing, subscribing to paid services, or submitting information to the platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the platform.

Privacy: Your use of Special Needs Finder is also subject to our Privacy Policy, which describes how we collect, use, store, and disclose information submitted through the platform. The Privacy Policy is incorporated into these Terms by reference.

2. The Nature of Our Service

Special Needs Finder operates an online directory and marketplace designed to help families discover therapy and related service providers. SNF is an information platform and provider directory, not a healthcare provider, medical provider, treatment coordinator, or clinical referral service.

  • Not Medical Advice / No Healthcare Relationship: SNF does not provide medical, therapeutic, diagnostic, or treatment services. No healthcare provider-patient relationship is created through your use of SNF, communication with providers through the platform, or discovery of providers listed on the platform. SNF is not a covered entity or healthcare provider under HIPAA solely because it provides a directory and marketplace service.
  • No Endorsement: We list providers from the federal NPPES registry and user- and provider-submitted data. Inclusion does not constitute an endorsement, clinical vetting, or guarantee of a provider's credentials, quality of care, or availability.
  • Unclaimed Profiles: Listings not marked as "Claimed" or "Verified" are sourced from public records and may be incomplete or outdated.

3. Account Registration & Security

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify SNF immediately of any unauthorized use of your account.

4. Acceptable Use and Prohibited Conduct

You agree to use the platform only for lawful purposes. You agree not to use the platform to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Scrape, crawl, spider, or use automated means to extract data, profiles, or provider information from the directory.
  • Harass, spam, or send unsolicited commercial messages to providers or other users.
  • Upload malicious code, viruses, or attempt to compromise the security, integrity, or availability of the platform.
  • Submit false, misleading, defamatory, or fraudulent information.

5. User Submitted Information

You may provide information through the platform, including profile information, saved information, notes, communications, photos, or other content. You retain ownership of content you submit to SNF. By submitting content, you grant SNF a worldwide, non-exclusive license to use, display, reproduce, modify, and distribute that content solely for operating and improving the platform.

  • Information About Children: Families may choose to provide limited information about a child, such as an alias, general information, or optional descriptions of needs or diagnoses, to personalize their experience. Providing this information is entirely optional. You represent that you are the parent or legal guardian of any minor whose information you enter into the platform, and are responsible for ensuring you have the appropriate authority to do so.
  • Self-Service Privacy: Appointment notes and "Saved Providers" are private to your account. Blocking a provider only removes them from your specific search results.

SNF does not verify the accuracy of user-submitted information and is not responsible for content submitted by users or providers.

6. Our Intellectual Property

The Special Needs Finder platform, including its original content, features, directory database, design, graphics, and branding, are owned by Quiet Loud Creations LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our platform or its content without our express written permission.

7. Providers and the Directory

A. Independent Providers

Providers listed on SNF are independent businesses, third parties, or professionals. SNF does not employ providers, supervise their services, control their availability, or participate in the provider-family relationship. Providers are solely responsible for their services, professional obligations, licensing requirements, compliance obligations, and interactions with families.

By claiming a listing or creating a Provider Account, you represent and warrant that:

  • Authority: You are an authorized representative of the business and have the legal right to manage its digital presence.
  • Accuracy: You will provide truthful NPI numbers and business details. We reserve the right to verify NPI data against federal registries.
  • Conduct: You will not use the platform for spam or misleading claims regarding your services or availability.

B. Marketplace Disclaimer

SNF is not a party to any agreement, arrangement, treatment relationship, payment relationship, or other transaction between families and providers. Any relationship formed with a provider is solely between the family and that provider.

C. Provider Subscriptions and Visibility

SNF offers both free basic listings and paid provider plans. Paid provider plans may provide additional features, tools, media uploads, analytics, or profile enhancements. Payment for a subscription does not constitute an endorsement, recommendation, certification, or guarantee by SNF and does not indicate that one provider is preferred over another.

D. Provider Content and Communications

Providers may be permitted to share availability information or approved promotional messages through certain platform features. SNF reserves the right to review, approve, modify, or remove provider promotional content. If a provider claims a listing and later deletes their account, the public business listing may remain in our directory unless the provider expressly requests its removal or the business permanently closes.

Communications Between Families and Providers: SNF may provide tools that allow users to initiate contact with providers through email or other communication methods. SNF facilitates the transmission of these communications but is not a party to communications between users and providers and does not control, monitor, or guarantee responses. Providers and families are solely responsible for their communications and any relationship, appointment, treatment, or transaction that may result.

8. Fees and Refunds

Currently, core directory access is free for families. Providers may opt into paid subscription tiers.

  • Auto-Renewal: Paid tiers (Standard/Premium) renew automatically at the end of each billing cycle.
  • Cancellations: You may cancel at any time via your dashboard. You will retain access until the end of your current paid period.
  • Refunds: Except where required by applicable law, all fees paid to SNF are non-refundable. Refunds are granted solely at our discretion in exceptional circumstances.
  • Downgrades: You may downgrade your plan at any time; however, access to higher-tier features will cease at the end of the current billing cycle.
  • Pricing Changes: We reserve the right to modify our pricing and fee structures at any time, with reasonable notice provided to affected users.

9. Suspension and Termination

SNF reserves the right to suspend or terminate accounts, remove listings, or restrict access to the platform at any time, with or without notice, if we believe a user has violated these Terms, provided false information, abused the platform, or created risk or legal exposure for SNF or other users.

10. Indemnification

You agree to indemnify, defend, and hold harmless Quiet Loud Creations LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the platform, your violation of these Terms, or your violation of any third-party rights.

11. Disclaimers and Limitations of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND WITHOUT ANY SLA OR UPTIME GUARANTEE. SNF DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNF SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR YOUR RELATIONSHIP WITH ANY PROVIDER FOUND THROUGH THE SERVICE. IN NO EVENT SHALL SNF'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO SNF DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Dispute Resolution; Binding Arbitration

Please read this section carefully. It affects your legal rights.

  • (a) Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Austin, Texas, before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Consumer Arbitration Rules.
  • (b) Class Action Waiver: Except as prohibited by law, arbitration shall be conducted on an individual basis. YOU AND SPECIAL NEEDS FINDER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
  • (c) Small Claims Court: Notwithstanding the above, either party may elect to bring an individual action in small claims court (Justice of the Peace court) in Travis County, Texas, if the claim qualifies.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute that is not subject to arbitration shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the jurisdiction and venue of those courts.

14. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. We may modify these Terms at any time. When changes are made, we will update the "Effective Date" at the top of this document. Your continued use of SNF after such changes constitutes your acceptance of the new Terms.
